Please read these Terms & Conditions ("Terms") carefully before using the Paca Models (the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Platform.

1. Introduction

Paca Models is a decentralized, automated platform that allows anyone to create their own tokens. The Platform facilitates the tokenization of HuggingFace open-source AI models that hold valid licenses, using a proprietary process developed by Paca Models. Additionally, when a token representing an AI model raises 15M PACA, a liquidity pool is automatically created on the Uniswap DEX.

2. Acceptance of Terms

By using the Platform, you acknowledge that:

• You have read, understood, and agree to be bound by these Terms.
• Your use of the Platform is at your sole risk.
• You are responsible for conducting your own due diligence before participating on the Platform, whether as a token creator, developer, or token holder.

3. Platform Use and Services

• Tokenization Process: The Platform allows for the tokenization of HuggingFace open-source AI models with valid licenses. The process used for tokenization is proprietary to Paca Models.
• Liquidity Pool Creation: When a token representing an AI model successfully raises 15M PACA (subject to change), a liquidity pool is automatically created on the Uniswap DEX.
• Decentralized Nature: The Platform is decentralized and automated. Paca Models does not manage or control tokens or liquidity pools beyond providing the infrastructure for their creation.

4. Modifications and Cancellations

• Right to Modify: Paca Models reserves the right to change, modify, or discontinue any aspect of the Platform at any time without prior notice.
• Token Cancellation: Paca Models reserves the right to cancel any token that has not raised the necessary 15M PACA. In such cases, any PACA contributed will be refunded to the respective contributors at the sole discretion of Paca Models.

5. No Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORM, INCLUDING PACA MODELS, ITS AFFILIATES, OFFICERS, DIRECTORS, AGENTS, AND EMPLOYEES, SHALL NOT BE LIABLE FOR ANY LOSSES, DAMAGES, OR EXPENSES ARISING OUT OF OR RELATED TO:

• YOUR USE OF THE PLATFORM OR YOUR RELIANCE ON ANY INFORMATION PROVIDED THROUGH THE PLATFORM.
• ANY ERRORS, OMISSIONS, INTERRUPTIONS, OR DELAYS IN THE OPERATION OF THE PLATFORM.
• ANY DECISIONS OR ACTIONS TAKEN AS A RESULT OF YOUR INTERACTION WITH THE PLATFORM, INCLUDING THE CREATION, PURCHASE, OR SALE OF TOKENS.
• ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. Due Diligence and Risk Acknowledgment

• User Responsibility: All participants on the Platform must perform their own research and due diligence before engaging in any activities related to token creation, development, or token holding.
• Assumption of Risk: By using the Platform, you acknowledge and agree that you assume all risks associated with your participation. This includes, but is not limited to, market risks, technological risks, and regulatory risks.
• No Professional Advice: The Platform does not provide financial, legal, or investment advice. You should consult with appropriate professionals before making any decisions based on the Platform's offerings.

7. Governing Law and Jurisdiction

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of Panama.
• Jurisdiction: Any disputes arising out of or in connection with these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in Panama City, Panama.

8. Changes to These Terms

Paca Models reserves the right to modify these Terms at any time without notice. Your continued use of the Platform after any changes signifies your acceptance of the updated Terms. It is your responsibility to review these Terms periodically.
